1 Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (whether personally or on behalf of an entity) and HAT INNOVATIONS ("Company," "we," "us," or "our"), regarding your access to and use of the WAHATBOT website (https://wa.thehatai.com), applications, and automated WhatsApp communication software (the "Service").

By accessing or using our Service, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2 Description of SaaS Services

WAHATBOT is an enterprise-grade cloud Software-as-a-Service (SaaS) platform that equips businesses with WhatsApp automation, interactive visual flow builders, multi-agent conversational team inboxes, automated trigger replies, campaign hubs, and webhook/API integrations.

We grant you a non-exclusive, non-transferable, revocable license to access and use our Service in accordance with your chosen subscription tier.

3 Account Registration & Security

To access the platform, you must register for an account using accurate, current, and complete corporate information. You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and API authorization keys. You agree to notify HAT INNOVATIONS immediately of any unauthorized use of your account.

4 Compliance with Meta / WhatsApp Policies (Anti-Spam)

You represent and warrant that you possess all necessary explicit user consents (opt-ins) from end-recipients before sending automated WhatsApp communications. HAT INNOVATIONS reserves the absolute right to suspend or terminate accounts that violate WhatsApp community standards or exhibit abusive spam volume without any refund.

5 Subscription Billing, Pricing & Taxes

Subscription plans (Basic, Advanced, Pro) are billed in advance on a recurring monthly, 6-month, or 1-year cycle in Indian Rupees (INR ₹).

• Basic Plan: ₹1,000 / month (or ₹5,000 for 6 months, ₹10,000 for 1 year)
• Advanced Plan: ₹1,500 / month (or ₹7,500 for 6 months, ₹15,000 for 1 year)
• Pro Plan: ₹2,499 / month (or ₹12,495 for 6 months, ₹25,000 for 1 year)

All applicable Goods and Services Tax (GST) or statutory levies will be charged as per Government of India regulations. Payments are securely processed through our authorized payment aggregator, Razorpay.

6 Intellectual Property Rights

The Service, including its proprietary codebase, visual design, interactive flow algorithms, documentation, trademarks, and logos, are owned by or licensed to HAT INNOVATIONS. You may not reverse engineer, decompile, copy, or redistribute any part of our software without explicit prior written authorization.

7 Limitation of Liability

To the maximum extent permitted by applicable Indian law, HAT INNOVATIONS and its directors, employees, or partners shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of business profits, data corruption, or WhatsApp number suspensions resulting from user spam or third-party platform policy shifts).

8 Governing Law & Jurisdiction

These Terms and any dispute arising from your use of the Service shall be governed by and construed in accordance with the laws of India. You irrevocably consent that the competent courts situated in Kerala, India shall have exclusive jurisdiction to settle any disputes or claims.
